Minebea Co., Ltd. and MITSUMI ELECTRIC CO., LTD. agreed to proceed with a discussion and consideration of a business integration based on the spirit of equal partnership as announced in the “Notice Concerning Execution of Basic Agreement on Business Integration of Minebea Co., Ltd. and MITSUMI ELECTRIC CO., LTD." dated December 21, 2015, and have held in-depth discussions, as a result of which the two companies reached an agreement to consummate the Business Integration and to conduct a share exchange, and executed a business integration agreement and a share exchange agreement based on the resolutions adopted at their respective meetings of the board of directors held today.
